American Tower Corporation and its subsidiary ATC TRS II LLC acquired beneficial ownership of approximately 4.67 million shares and units in AST SpaceMobile as of April 16, 2021, consisting of 2.5 million Class A shares and 2.17 million common units convertible into Class B shares on a one-to-one basis starting April 6, 2022. The reporting persons became members of a stockholder group under a Stockholders' Agreement dated April 6, 2021, establishing their initial beneficial ownership stake in the company.
