On March 4, 2024, the Cisneros Group entities completed an internal reorganization whereby Invesat LLC exercised 319,033 equity options, merged with newly formed subsidiaries, and transferred 10,445,200 shares of AST SpaceMobile Class A Common Stock to Antares Technologies LLC to facilitate a pledge of shares as collateral for an unrelated margin loan financing arrangement with JPMorgan Chase Bank. Following the death of Gustavo A. Cisneros on December 29, 2023, the 2014 Scesaplana I Trust became irrevocable and now reports beneficial ownership of approximately 10.5 million shares representing 7.6 percent of the company through Antares and affiliated entities, while Invesat and Mr. Cisneros filed exit amendments to the original Schedule 13D.
