On September 10, 2024, stockholders approved the AST SpaceMobile, Inc. 2024 Incentive Award Plan to replace the 2020 Plan, under which no further awards will be made. This post-effective amendment registers approximately 1.4 million rollover shares previously available under the 2020 Plan and 6.9 million shares subject to outstanding awards under that plan for issuance under the 2024 Plan, without increasing the total shares registered. Contemporaneously, the company filed a separate S-8 registration to register 2 million new shares available for issuance under the 2024 Plan.
