Abel Antonio Avellan, CEO and 10% owner of AST SpaceMobile, acquired 78,163,078 shares of Class C Common Stock and an equivalent number of Common Units on April 6, 2021, as part of the company's business combination between New Providence Acquisition Corp. and AST & Science, LLC. The Common Units held by Avellan are redeemable for Class A Common Stock on a one-to-one basis starting April 6, 2022, and do not have an expiration date.
