AST SpaceMobile filed a post-effective amendment on December 15, 2022 to remove all remaining unsold securities from a previous $500 million Form S-3 registration statement filed in September 2022. The company had used that registration statement to issue Class A common stock under an equity distribution agreement with sales agents, and subsequently filed a new Form S-3 registration on November 15, 2022 to continue offering remaining shares under the same sales agreement. The de-registration of the previous statement does not impact the ongoing equity distribution arrangement.
