Abel Avellan, AST SpaceMobile's chairman and CEO, filed this amendment to disclose a change in his beneficial ownership stake from an increase in the company's outstanding Class A Common Stock resulting from Invesat LLC's acquisition of 10,445,200 Class A shares on March 4, 2024 in exchange for AST Common Units and other consideration. Avellan's beneficial ownership percentage decreased to 36.2% of Class A shares (down from prior levels) due solely to this dilution from new shares issued, while he maintained his 81.5% voting control through Class C stock holdings and made no personal transactions in the company's securities.
